Position Purpose: To provide a full statutory, compliance function that assists the Transnet Property EXCO members to oversee the systems, procedures and processes by which the Transnet Property is managed to ensure a high standard of Corporate Governance.

Position Outputs: Management and provision of Transnet Property Company Secretariat functions/services; - Provide guidance to EXCO members; - Monitor, drive and advise on corporate governance best practices at meetings and in Transnet Property; - Review, update, maintain and ensure compliance with mandates for the Transnet Property EXCO members and ensure alignment between the mandates and that of the Regions; - Manage and provide oversight over the maintenance of all statutory records and submission of statutory returns; - Assist in the identification and compilation of training material for the induction of EXCO members; - Monitor the performance and effectiveness of the EXCO members; - Monitor compliance with statutory provisions relevant to the Transnet Property environment; - Ensure effective meeting by coordinating the preparation of agendas for meetings, review for accuracy of the agendas in consultation with the CEO.

Facilitate the process to dispatch information timeously to all members and attendees.

Accurately record meeting discussions; - Update, manage, approve and cascade the approved Delegation of Authority Framework; - Review and ensure effective implementation of the Gifts Policy.

Manage the maintenance of the gift register for all Transnet Property employees; - Manage and provide oversight on the development and maintenance of an effective and efficient records management system to ensure safe record keeping and provide an accessible resource hub for Transnet Property; - Manage the renewal of relevant of Transnet Property licenses; - Provide Leadership and oversight over the Sustainability function, which includes working with Cross-functional teams to define and meet Transnet Property ' sustainability goals, develop and track key performance indicators, as well as ensure that the key stakeholders are included in decision making process in order to track and achieve the Transnet Property Sustainability Platform Project goals; - Ensure alignment with the requirements of the Group Secretariat requirements.

Qualifications and Experience: - Unless the applicant can demonstrate that he/she has developed the necessary competencies through experience, a CIS qualification is a requirement; - a Legal Degree is an advantage; - At least 3 - 5 years relevant experience as a Company Secretary; - Excellent Computer literacy.

Competencies: - Excellent knowledge of word processing; - Extensive experience in MS Office and Windows; - Sound knowledge of administrative law principles, standards and processes; - All relevant legislation that impacts upon procurement as well as the Transnet policies and procedures

Questions after the interview:

At the end of an interview there is usually an opportunity where you can ask any questions you might have. This is a great opportunity to show the interviewer that you are interested in the position as well as the company. It is a good idea to prepare a few questions before the interview – this can be done while you are doing research on the company.

Your questions should show the interviewer that you are a good candidate for the position. Try and avoid questions that are based on your personal needs and preferences, for instance:

- How much leave will I get in a year?
- Will I be considered for promotion in my first year?
- When will I get an increase?
- What time can I leave in the afternoon?

These questions are inappropriate at this stage and will probably raise concerns on the side of the interviewer. Should you be the successful candidate then all these questions will be answered in your letter of appointment so don’t waste this opportunity by asking these basic questions.

If the position is an entry level job or very junior then you are welcome to ask questions in line with the position, for instance:

- Why did the previous person leave the position?
- What would the successful person be tasked to do in a typical day?
- How does this position fit into the department and / or company?
- Could you explain the company structure to me?
- Is there any further education assistance or support?

If the position is more senior then you can prepare question around the following themes:

- current issues that will face the successful candidate;
- inter-personal challenges in the department;
- any process, technology or people challenges that needs to be attended to urgently;
- key result areas that need urgent attention in the first few months;
